Understand LoGeek's Intellectual Property Warranty and Indemnity
masterLoGeek warrants that the delivered Software does not infringe on any third-party intellectual property (copyright, patent, or trademark).
Indemnification Process: If a third-party claim arises due to IP infringement, LoGeek will indemnify the Licensee provided that:
- The Licensee promptly notifies LoGeek in writing and provides all useful information for the defense.
- LoGeek is granted sole and exclusive control of the defense.
- The Licensee makes no statements that might prejudice LoGeek's defense.
Remedies for Infringement: If infringement is found or suspected, LoGeek may:
- Procure the right for the Licensee to continue using the Software.
- Replace or modify the Software to be non-infringing.
- If neither is possible, the agreement may be terminated, and LoGeek will reimburse the residual value of the purchase price (amortized over a maximum of 3 years).
Warranty Exclusions: The warranty does not apply if:
- The Software was altered, modified, or customized by anyone other than LoGeek.
- The Software was used in an unauthorized manner or in excess of the granted license.
- The Software version is unsupported or not the latest release provided by LoGeek.
- The issue relates to open source or third-party code embedded in the Software.
Modify the Kiba Software
masterLoGeek provides source code to allow Licensees to create Modifications (additions, deletions, or new files containing parts of the Software).
If you create Modifications, you must:
- Promptly inform LoGeek of the modification.
- Make the modification available to LoGeek.
Intellectual Property Note: By creating modifications, you assign the most extensive intellectual property rights (use, reproduction, modification, and distribution) to LoGeek on a non-exclusive, worldwide, and royalty-free basis. This assignment is governed by the terms of the Agreement and the Contribution License Agreement.
Understand LoGeek's Liability Limitations
masterLoGeek's liability is strictly limited to reflect the commercial allocation of risk.
Exclusions: LoGeek is not liable for indirect damages, including:
- Loss of profits, goodwill, business, or revenue.
- Loss of contracts or anticipated savings.
- Loss of data, or damage/corruption of data or business information.
Liability Cap: LoGeek's total aggregate liability for all claims (negligence, breach of contract, warranty, etc.) is limited to 50% of the Fees (excluding taxes) paid or payable by the Licensee during the year in which the act or omission occurred.
Claims Period: Any claim or cause of action related to the use of Services must be filed within one year after the claim arose, or it will be forever barred.
Understand Kiba Pro license types
masterKiba Pro (the Software) is available under two distinct license models, which must be selected in your subscription Order:
Standard License
- Usage: Non-exclusive, non-transferable, and non-perpetual. Designed for use on the Licensee's own servers under their sole control.
- SaaS: You are authorized to use the Software to provide "Software as a Service (SaaS)" services.
- Scope: One license per entity/organization. There is no limit to the number of servers or environments used by that entity.
- Restrictions: No distribution rights. You cannot distribute the Software as part of a product, "appliance", or "virtual server".
- Source Code: You will have access to the source code, but this does not grant rights to modify or create derivative works (except as permitted in Article 3.3).
Appliance License
- Usage: Non-exclusive, non-perpetual, and sublicensable. Designed for incorporating the Software into a "Licensee Product".
- Distribution: Allows you to install, reproduce, and further develop the Software as an integral part of your own product (the Licensee Product) for distribution to third parties.
- Sublicensing: Sublicensing is only permitted when the Software is incorporated within your Licensee Product.
- Restrictions: The Licensee Product must have substantially different functionality than the Software itself. You cannot grant customers rights that exceed those of a Standard License.
Review common license restrictions for Kiba Pro
masterRegardless of the license type chosen, the following restrictions apply to all users of the Software:
- Reverse Engineering: You may not decompile, disassemble, or reverse engineer the Software to discover source code, algorithms, or programming interfaces (except where prohibited by law).
- Commercial Use Only: The Software must be used for business purposes only. Non-professional use is not authorized.
- Prohibited Distribution: You may not sell, rent, lease, or use the Software for time-sharing or hosting services (unless specifically permitted via the SaaS provision in a Standard License).
- Competitive Products: You may not use the Software to develop a product that competes with LoGeek's product offerings.
- Notice Preservation: You must not remove any product identification, proprietary notices, copyrights, or trademarks contained in the Software.
- Benchmarking: You may not publicly disseminate performance information or benchmarks relating to the Software.
- Security Circumvention: You may not use tools designed to circumvent Source URLs or copy protection used by LoGeek.
Access and download the Kiba Software gem
masterThe Kiba software is delivered digitally. Upon purchase, you receive unique access credentials that allow you to download the Software gem from the Gem Server using
bundle install.Important Security Note: You must keep these access credentials private. If credentials are publicized, LoGeek may revoke access or terminate the Agreement.

Software Requirements and Installation
masterTo ensure stability and security, Licensees must:
- Ensure the technical environment meets the minimum required specifications defined in the LoGeek Documentation.
- Promptly install all Releases distributed by LoGeek, especially those provided for security or safety reasons. Failure to update may result in degraded performance or inability to use certain features.
Manage Agreement Termination and Renewal
masterThe agreement can be terminated or renewed based on the following rules:
Non-Renewal: To prevent automatic renewal, either party must inform the other in writing (e.g., via email) at least 2 weeks before the end of the contractual period.
Automatic Renewal: If no notice of non-renewal is provided within the 2-week window, the agreement renews automatically.
Termination for Cause: Either party may terminate the agreement immediately via written notice if the other party is in material breach and fails to remedy that breach within 30 days of receiving notice.
Consequences of Termination: Upon termination, the Licensee must:
- Cease all use of the Software.
- Destroy the Software or deliver all copies to LoGeek upon request.
Payment upon Termination: All sums previously paid by the Licensee remain with LoGeek.
Access Priority Email Support
masterAn active Agreement includes "Priority Support," which is limited to Kiba and Kiba Pro features and APIs (it does not cover your specific application or infrastructure).
- Quota: One (1) email request per quarter.
- Response Time: LoGeek aims to respond within two (2) French working days.

support@logeek.fr. - Requirement: Please use the same email domain used for the original license or explain your connection to the licensed company.
Exercise Data Protection Rights
masterLicensees' employees have the right to query, access, rectify, oppose, obtain erasure, or restrict the processing of their personal data.
To exercise these rights, send a request via mail to support@logeek.fr. It is recommended to include a copy of the relevant person's identification papers to facilitate the request.
